About Job


Our client company is seeking highly experienced professionals with over 17 years of expertise in the Retail and Real Estate Industry to fill the role of Company Secretary and Finance Controller. The ideal candidate will have a comprehensive understanding of finance, legal, and taxation functions, including drafting and vetting agreements, managing taxation matters (both direct and indirect), overseeing secretarial affairs, and ensuring statutory compliance. They should possess a proven track record of conceptualizing and implementing financial procedures, maintaining accounts, and managing audits.

Job Description


Key Responsibility Areas:

Finance:

  1. Standardization of Margins: Develop and implement processes to standardize margins and ensure proper booking of purchases.
  2. Integration of POS: Establish procedures for integrating Point of Sale (POS) systems with financial systems to automate revenue recognition.
  3. Accounting: Oversee all accounting matters including trade receivables, trade payables, asset accounting, and inter-company transactions.
  4. Budgeting: Prepare both long-term and short-term budgets, monitor budget performance against actuals, and conduct variance analysis.
  5. Business Case Preparation: Develop business cases and future projections to support strategic decision-making.

Taxation:

  1. GST Compliance: Manage all GST-related matters including timely filing of returns, tax deposits, and assessing the impact of GST on business operations.
  2. Training and Process Setup: Develop and implement processes related to GST compliance and provide training to team members on GST regulations.

Legal Work:

  1. Agreement Drafting: Draft and vet various agreements including vendor agreements, franchise agreements, lease agreements, and licensing agreements.
  2. Compliance Checklist: Develop and maintain a compliance checklist for new and existing stores across India, ensuring adherence to all regulatory requirements.
  3. Legal Disputes: Handle legal matters related to money recovery, rent disputes, criminal cases under the Negotiable Instruments Act, consumer disputes, and matters under the Legal Metrology Act.

Requirements:

  1. Bachelor's degree in Finance, Accounting, Law, or related field. Additional qualifications such as CS or CA preferred.
  2. 17+ years of experience in the Retail and Real Estate Industry, with a focus on finance, legal, and taxation functions.
  3. Strong understanding of financial procedures, accounting principles, and taxation laws.
  4. Proven track record of drafting and vetting agreements, managing GST compliance, and handling legal disputes.
  5. Excellent communication and interpersonal skills, with the ability to liaise effectively with internal and external stakeholders.
  6. Strong leadership abilities, with experience in leading and mentoring teams.
